2. Terms of Service

2.1 Scope of Engagement

All services provided by WebStructureStudio are governed by explicitly contracted Statements of Work (SOW) executed between the Client and WebStructureStudio. Each SOW defines the specific deliverables, timelines, milestones, and pricing applicable to the engagement.

2.2 Intellectual Property

Upon complete settlement of all agreed commercial invoices, WebStructureStudio assigns all worldwide intellectual property rights in the client-specific software deliverables, source code, design tokens, and digital assets directly to the Client. Pre-existing frameworks, libraries, and internal tooling used during development remain the property of WebStructureStudio.

2.3 Payment Terms

Unless otherwise specified in the SOW, invoices are payable within 14 calendar days of issuance. Late payments incur a statutory interest rate of three times the French legal interest rate (taux d'intérêt légal) plus a fixed recovery fee of €40 in accordance with French commercial code articles L.441-10 and D.441-5.

2.4 Limitation of Liability

WebStructureStudio's total aggregate liability under any engagement shall not exceed the total fees paid by the Client for the specific service giving rise to the claim. We shall not be liable for indirect, consequential, or punitive damages including but not limited to loss of revenue, data, or business opportunity.

2.5 Confidentiality

Both parties agree to maintain the confidentiality of proprietary information exchanged during the engagement. This obligation survives termination of the agreement for a period of 36 months.
